The Questions Behind China's New Offshore Trust Rules - Announcement No. 21
On July 24, 2026, China's Ministry of Finance and State Taxation Administration issued Announcement No. 21, a comprehensive individual income tax framework for offshore trusts, accompanied by detailed filing rules under SAT Announcement No. 15.
We have now read all eighteen articles, in the original Chinese, alongside the filing framework. Our conclusion is simple to state and difficult to live with: this is not a compliance notice. It is a regime.
Most commentary will focus on what the rules say. In our view, this is potentially the new PRC GAAR for trusts. The announcement does not begin with the trust deed. It begins with the individual, and it asks questions that many offshore structures were never designed to answer:
· Who actually funded the structure, regardless of whose name is on the documents?
· Who controls it in practice, regardless of who is named as trustee or settlor?
· Who benefits from it, including benefits that never appear as a formal distribution?
· Whose tax residence is really engaged, including individuals who hold foreign citizenship or permanent residence?
· And can the family produce the documents to prove its answers, on a filing timeline that has already started running?
These questions do not stop at arrangements labeled as trusts. The definition reaches any foreign arrangement that performs a trust-like function. Consider how that lands on the planning tools most cross-border families were offered over the past decade:
PPLI and offshore insurance. If the policy was designed around one family's assets, one family's investment preferences, and one family's access to policy value, is it still an insurance product, or has it become a private value reservoir written in insurance language?
Master trust and institutional policyholder arrangements. If a trust holds the policy because the individual could not own it directly, is that trust merely insurance infrastructure, or is it a wealth-holding channel with a policy inside?
Offshore holding companies. If the BVI or Cayman company has no staff, no operations, and no decisions made at the company level, will the layers on the structure chart survive a substance review, or will they be compressed back to the individual behind them?
Private foundations and foundation-like vehicles. If the founder still directs the assets and the family still enjoys them, does the change of label change the answer?
Assets held in a spouse's or children's names. If the person named on the documents is not the person who created the wealth, funded the transfer, or continues to control it, whose structure is it really?
Trusts settled by a non-resident family member. If the settlor is offshore but the wealth, the control, or the benefit traces back to someone who is not, does the settlor's passport decide anything?
Nominee and custodial arrangements. If the arrangement exists precisely so that the real owner does not appear, what happens when the analysis is built to look for the real owner? What about your trustee?
Corporate beneficiaries and inserted entities. If a company was added to the structure to change how distributions are received, does changing the recipient change the origin of the value, or the person attached to it?
We are not suggesting that any of these tools is improper. Many were implemented for legitimate succession, governance, and protection reasons. Our point is narrower and more uncomfortable:
“Each of them was built on assumptions about form, and the new regime is built to ask about substance”.
A structure that was sold as standard is not the same as a structure that has been reviewed.
Neither age nor origin is a defense. Structures established years ago are not exempt, and the announcement's transition window is measured in days, not years. Transition relief is not the same thing as grandfathering.
For China-Canada families, there is a second layer of difficulty. Canadian tax law asks its own first questions about trust residence, attribution, and reporting, and those questions start from a different place than the PRC rules do. A structure reviewed only from one side of the Pacific is a structure reviewed halfway.
An offshore structure is not like an investment portfolio. If an investment no longer suits the market environment, it can usually be sold or adjusted relatively quickly. By contrast, trusts, offshore trusts, master trusts, insurance-based structures, or multi-tier holding arrangements often create long-term legal, tax, reporting, valuation, succession, and family governance consequences once they are established.
Ultimately, the real test of offshore planning is not whether a planner can build a sophisticated structure. It is whether a tax strategist possesses the depth of technical knowledge and professional expertise to explain the structure after it has been created, continuously assess its effectiveness, adapt it when necessary, and preserve its integrity as future laws, policies, and family circumstances change.

A structure that cannot be explained consistently to two tax authorities, five or ten years from now, was never resilient in the first place. 究竟牵涉谁的税务居民身份,包括已取得外国国籍或永久居留权的个人?
以及,在申报期限已经开始计算的情况下,家族能否拿出证明材料,支持自己的答案?
这些问题的覆盖范围,远不止名义上的"信托"。新规的定义延伸至任何具有类信托功能的境外安排。请想一想,过去十年间跨境家族最常被推荐的规划工具,在这些问题面前将如何作答:
PPLI 与境外保险。 如果保单是围绕一个家族的资产、一个家族的投资偏好、一个家族对保单价值的取用而设计的,它还是一份保险产品,还是一个披着保险外衣的私人价值储备?

以配偶或子女名义持有的资产。 如果文件上署名的人,并非创造财富、出资转移或持续控制财富的人,这个架构究竟属于谁?
由非居民家族成员设立的信托。 如果委托人在境外,但财富、控制或受益最终追溯到并非境外的某个人,委托人的护照又能决定什么?
代持与托管安排。 如果安排的存在,恰恰是为了让真正的所有人不出现在文件上,那么当审查的逻辑就是寻找真正的所有人时,会发生什么?您的受托人,又经得起同样的审视吗?
公司受益人与嵌入实体。 如果在架构中加入一家公司,是为了改变分配的接收方式,改变接收方能否改变价值的来源,以及与之相连的那个人?
我们并非暗示上述工具本身不当。其中许多是出于正当的传承、治理与保护目的而搭建的。我们想说的更具体,也更令人不安:
"这些工具都建立在关于'形式'的假设之上,而新规恰恰是为审视'实质'而设计的。"
一个被当作"标准方案"出售的架构,与一个经过认真审视的架构,不是同一回事。
架构的年龄与来历都不构成豁免。多年前设立的架构并不因此免责,且公告设定的过渡期以"天"计算,而非以"年"计算。过渡安排不等于既往豁免。
对中加跨境家族而言,还有第二层难度。加拿大税法就信托居民身份、归属规则与申报义务有自己的出发点,与中国新规的切入角度并不相同。只从太平洋一侧审视的架构,只完成了一半的审视。
离岸架构并不像一个投资组合。如果某项投资不再适合市场环境,通常可以相对快速地卖出或调整。但信托、离岸信托、主信托、保险相关架构或多层持股安排,一旦设立,往往会留下法律、税务、申报、估值、传承和家族治理上的长期后果。
因此,离岸规划真正测试的,不是 planner 能不能搭出一个“结构”,而是 tax strategist 是否具备足够的知识底座和专业能力,在结构创建之后,继续解释它、检验它、调整它,并在未来政策与家庭事实变化时维护它。
Boreal 的立场始终如一:离岸规划不是一个产品决策。一个五年、十年后无法向两国税务机关作出一致解释的架构,从一开始就谈不上韧性。因此,我们的审视从资金来源、控制、受益、居民身份、估值与申报历史入手,然后才讨论应当搭建什么、调整什么。
